I. Names and Address

The name of this organization is Western Slope Libertarian Party, or WSLP. The legal address of WSLP is

Affiliation

WSLP is affiliated with the Libertarian Party of Colorado

Purpose

To promote the election of Libertarian Party candidates

To engage in local issues and encourage Libertarian precepts & ideology

To support Sub-chapters in promoting local candidates and issues

To represent Western Slope interests and issues at the State level

Membership

Members of WSLP are strongly encouraged to contribute to the financial well being of WSLP. A donation of $5.00 per month or $50.00 per year for dues is recommended, to help finance promotional and/or outreach materials and candidate support.

B. The voting membership shall consist of all Libertarians who reside on the

Western Slope, and who have been legally registered as Libertarians for

ninety (90) days. Only the voting members are eligible to hold office and/or

vote at business meetings.

 

To pass resolutions a quorum must be present. A quorum is defined as 50

percent or more of the Board of Directors and at least four (4) other voting members. Passage of resolutions requires a 2/3 majority of those voting members casting votes, not including any abstentions, but including any signed and dated proxies.

The general membership shall consist of all people who are not registered Libertarian but wish to be involved by contributing ideas, time, and/or resources.

Board of Directors

The Board of Directors shall consist of a Chairman, a Vice

Chairman/Sergeant at arms, a Treasurer, and a Secretary.

Officers are elected by the voting members of WSLP for terms of one

year, beginning at the first monthly board meeting held in January and expiring at the first meeting held in January of the following year.

Only voting members are eligible for election as Officers.

Nominations will be tendered at the first meeting in December.

Election of the board will be conducted at the first meeting in January as the first order of business. Votes may be cast in person or by proxy.

Votes will be counted by the Secretary.

Elected candidates take the office immediately.

No person may simultaneously hold or be a candidate for more than one office.

The Board of Directors shall meet at least once a month. The board meetings

shall be open to all members, who may make motions and seconds. Voting

members shall vote on any motions and/or resolutions. More frequent

meetings may be scheduled, so long as they are publicized to the general

membership in advance in writing by e-mail, or by telephone notification.

In the event of a vacancy among the officers of the board, the voting

membership shall have the authority to select a replacement for the remainder of the term by passage of an appropriate resolution.

 

 

Duties of Officers

Chairman

Take a leading role in determining the goals, direction, and plans for the

WSLP.

Insure that the regular activities of the WSLP are conducted in a timely,

responsible manner that brings credit to the WSLP.

Chair all meetings of the board.

4. Act as contact point and spokesperson for media, and interfacing to other

Libertarian Party organizations, sub-chapters, affiliates, and political

campaigns.

Vice Chairman/Sergeant at arms

Act as Chairman when Chairman is absent.

2. Act as second contact point for interfacing to other organizations,

sub-chapters, affiliates, and political campaigns.

Answer any incoming mail and make such mail available to the board by

the next meeting or sooner by e-mail.

Secretary

Record the official minutes of all board meetings. These minutes must be

submitted for review by e-mail at least three days prior to the next scheduled meeting.

Maintain the master copy of these by-laws and incorporate into them any

and all amendments made.

Maintain a current record of Registered Libertarians on the Western Slope

and confirm voting member status as needed.

Treasurer

Keep all financial records of the WSLP according to generally accepted

accounting practices.

Maintain a bank account in the name of WSLP and sign all checks drawn

upon that account.

Make monthly reports to the board at meetings showing all income,

expenditures, and resulting balances, including the sources of income and

the names and purpose of expenditures.

File all reports required for political parties by the Secretary of State of

Colorado and /or local governmental entities.

Sub-Chapters and Committees

Sub-chapters

Any Western Slope Libertarian organization may request to become a

sub-chapter and voting member of WSLP.

Requests to join the WSLP as a sub-chapter may be presented for a vote

at any official business meeting, and if such request is approved,

classification as sub-chapter shall take affect immediately

Committees

The board may create by resolution any committee deemed necessary to fill a designated purpose. Such committees may be temporary or ongoing, and may exercise any powers of the board that the board authorizes, with the exception that they shall not be granted powers and funds to endorse candidates.

Appointments

The board will appoint all positions as necessary including, but not limited to, Information Director, Membership Outreach Director, and Fundraising Director.

Amendments to the By-Laws

These By-Laws may be amended by resolution of the board at any regular

monthly meeting by a 2/3 vote.

All resolutions passed by the WSLP Board of Directors prior to the adoption

of these by-laws are hereby ratified as recorded in the minutes, except where

any such resolutions may conflict with these by-laws herein.
